Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective as of June 2, 2023, Michelle D. Bergman has tendered her resignation, for personal reasons, as a member of Wheeler Real Estate Investment Trust, Inc.’s (the “Company”) Board of Directors (the “Board”), including her membership on the Audit Committee and Compensation Committee of the Board. In accepting her resignation, the Board recognized Ms. Bergman’s valuable contributions and wished her well.
